1. About these terms
These terms apply to the Contracy application at app.contracy.com, including workspace accounts and recipient signing pages. “Contracy”, “we”, and “us” refer to eezpal. “You” means the person using the service and, where you act with authority for an organization, that organization.
By creating an account or using the service, you agree to these terms. You must be old enough to enter a binding agreement where you live and have authority to act for any organization you represent. Our Privacy Policy explains how we handle personal information.
2. Accounts and workspaces
Provide accurate account details, keep your credentials and private signing links secure, and notify us if you suspect unauthorized access. Do not share an account. Google or Microsoft login is optional when available; those providers’ terms also apply to their services.
Each workspace has an owner who controls billing and membership. Owners and admins can access workspace documents; members normally access their own unfiled documents and documents in clients available to them. Sharing a client makes every document inside it available to workspace members. Only invite people who are authorized to see the information their role permits. Your organization is responsible for its users and for maintaining access to its owner account.
3. Your documents and responsibilities
You retain your rights in uploaded documents, templates, and submitted content. You give us permission to store, process, display, and transmit that content as needed to provide the service, including preparing PDFs, requesting signatures, producing completed copies, and maintaining signing evidence.
You are responsible for the content, the intended recipients, your authority to share it, and any notices or permissions required for personal information in it. Check recipient addresses, saved client values, and field placement before sending. Account exports include your account details and documents you created in workspaces you can still access; workspace owners can request a workspace export. Temporary exports expire after 24 hours and large exports are split into ZIP parts of up to 250 MB. Keep your own copies of important records and obtain professional advice when a document or transaction requires it.
Scheduled agreement renewals create independent signing requests. You choose whether to create a draft for review or send automatically on the configured UTC renewal date. Automatic sending uses the saved recipients, PDF layout, and current client details without a further review step. Keep that information accurate and authorized, and pause the schedule when it is no longer needed. Pausing future renewals does not cancel an existing request. A prior signature is never reused as consent for a new request.
Do not upload unlawful content, malware, or material that violates another person’s rights. Do not impersonate someone, forge signatures, send unsolicited bulk requests, attempt unauthorized access, evade plan limits, or disrupt the service.
4. Electronic signing
Contracy provides standard electronic signing with an audit trail. A recipient can review and download a document without registering, decline a request, and explicitly agree to electronic records and signatures before submitting. The signing screen states the consent being recorded.
By submitting a signature, you confirm that you reviewed the document, intend to sign it, and have authority to do so. Protect the email account and private link used to access the request. The link helps deliver the request; it is not advanced identity verification.
Electronic signature requirements depend on the location, document, and transaction. Contracy does not provide legal advice, qualified electronic signatures, or a guarantee that every document can be signed electronically. You are responsible for deciding whether the service meets your requirements, including any witness, notarization, identity, or recordkeeping requirements. If you prefer another signing method, contact the sender before submitting.
5. Free and Business plans
The Free plan includes five sent requests per UTC calendar month for each workspace, and 1 GB of retained storage shared by every Free workspace you own. New work on Free is limited to the workspace owner. Business is $29 USD per workspace per month, with unlimited sent requests, 10 GB of retained storage for that workspace, team collaboration without per-seat charges, and templates. Applicable taxes and the total payable appear at checkout. Each workspace has its own subscription. A paid workspace does not draw from the shared Free storage allowance.
A request counts once when successfully sent, including an automatically sent agreement renewal. Drafts, reminders, and retries do not use another sending allowance. Retained source, unfilled, prepared, completed, evidence, and template files use storage. Upload size and page limits also apply. Plan limits never prevent an already-sent request from finishing.
Future features, including a full document management system, are not included unless expressly offered. We may change plans prospectively with notice where required; a price change will not apply retroactively to a paid period.
6. Payments, renewal, and cancellation
Business subscriptions are paid through Dodo Payments using its hosted checkout. Review the recurring charge, currency, taxes, and payment terms shown there before purchasing. Subscriptions renew monthly until canceled. The workspace owner can open the billing portal from Billing settings to manage payment details or cancel.
Cancellation takes effect at the end of the paid period. A failed renewal has a seven-day grace period before Free restrictions apply. After downgrade, retained documents and existing permitted read access remain available; new team collaboration and template reuse require Business. That workspace's files then count toward the shared Free storage allowance. If retained storage exceeds it, reduce it or upgrade before uploading more.
For duplicate charges, billing errors, or refund requests, contact us promptly with the transaction details. Refunds are assessed under applicable law and the terms presented at checkout. This does not limit any mandatory cancellation, refund, or consumer rights.
7. Availability, suspension, and ending use
We work to keep the service available, but maintenance, network failures, processing problems, and third-party outages can interrupt access or email delivery. Do not rely on an email being received merely because it was sent. Check request status and use another method when a deadline or transaction requires it.
We may restrict or suspend access when reasonably necessary to protect the service, investigate misuse, comply with law, or address unpaid fees. Where practical and lawful, we will give notice and a chance to resolve the issue. You can stop using the service and request account closure; cancel each paid workspace subscription separately to stop renewals.
Download documents and signing evidence you need before requesting deletion or closing a workspace. Signing and transaction records may need to be retained as explained in the Privacy Policy. Closing your account does not remove copies already supplied to other parties.
8. Service limits and liability
To the extent permitted by law, the service is provided on an “as available” basis without a promise of uninterrupted or error-free operation or suitability for a particular legal purpose. We are not a party to documents you send or sign and are not responsible for their contents or disputes between their parties.
To the extent permitted by law, neither party is responsible under these terms for indirect or consequential loss, lost profits, or lost business opportunities. Nothing in these terms excludes liability for fraud, intentional misconduct, or any liability or remedy that cannot lawfully be excluded or limited. Your mandatory consumer rights remain unaffected.
9. Changes and resolving concerns
We will publish updates with a new effective date and give notice of material changes through the service or email where required. Changes apply prospectively. If you do not agree to a change, stop using the service and cancel paid subscriptions before renewal, subject to your existing rights.
Please contact us first so we can try to resolve a concern. These terms do not require arbitration, waive class proceedings, or remove access to courts or protections provided by applicable law. If a provision cannot be enforced, the remaining provisions continue to apply.
